We are currently seeking investors (Syndicate Members) for our racing/pinhooking partnership. Our aim is to raise $100,000 for the purchase and related expenses of purchasing a yearling filly at the “Keeneland January, 2009 Sale”. Because of the exceptional marketplace we’ve witnessed at mixed sales for fillies with broodmares’ pedigrees and some racing success, we feel that the investment in a filly with a top quality pedigree insures a return on investment. We will invest $50,000 in the purchase of the yearling filly and utilize the remaining $50,000 to pay any and all training, veterinary, etc., fees, so that Syndicate Members will have no further expenses.

Our options, upon purchase of such a filly, are multi-fold. We can, if the filly demonstrates exceptional talent via pedigree and conformation, and upon breaking and putting her into preliminary training, seek to pinhook her in a two-year-old in training sale, or if her pedigree, conformation and early training indicate she will excel later, we can elect to lay her up at our farm and start her as a late two-year-old or early three-year-old at the races. Further, should she have success at the races, we can elect to sell her at a mixed sale after her racing career has ended, or breed her to a carefully selected young sire and sell her in foal at a mixed sale.

We offer full shares in this syndicate at $10,000/share, or half shares at $5000.

We will close this offer to new investors on January 1, 2009.

Should we be unable to purchase the type of yearling filly we desire at sale, or should the desired total of $100,000 not be achieved, the Managing Partners will make the decision to purchase a suitable yearling filly given the funds that have been raised or, if the Managing Partners do not believe that an investment-quality filly can be purchased and trained given the funds on hand, the funds will be returned to the investors, minus the sales expenses divided between the investors, or will be retained for the same purpose at the “Keeneland April Two-Year-Old in Training Sale”, 2009, (Smith-Smoodin Syndicate 2), at the discretion of the individual investors.

Henry Smith and Roberta Smoodin are the Managing Partners of the syndicate, and all decisions regarding the purchase of the yearling filly and the management for the purposes of racing and/or breeding will be made by them.
